1. Scope

These General Terms of sale (“Terms of sale”) govern the contractual relationship between WXF Sàrl and any natural or legal person (“the Customer”) placing an order through the WXF Sàrl online shop.

They apply to all sales of wines, beverages and other products offered on the site, unless otherwise agreed in writing.

By placing an order, the Customer acknowledges having read these Terms of sale and accepts them without reservation.

Any general terms and conditions of the Customer apply only if WXF Sàrl has expressly accepted them in writing.

WXF Sàrl may amend these Terms of sale at any time. The applicable version is the one in force at the time the order is confirmed.

2. Identity of the seller

The seller and contracting party is WXF Sàrl, Alte Meielsgrundstrasse 2, 3783 Grund bei Gstaad, Switzerland. Registered office: Saanen, Canton of Bern. UID: CHE-371.428.488. Commercial Register No.: CH-550.1.204.165-7. Email: cheers@laurona.ch.

WXF Sàrl's activities include, in particular, the import, export and sale of goods, especially food products and beverages.

3. Minimum age and sale of alcohol

The sale and delivery of alcoholic beverages by WXF Sàrl are reserved exclusively for persons aged 18 or over.

By placing an order, the Customer confirms that they are at least 18 years old and legally permitted to purchase and receive the products ordered.

WXF Sàrl reserves the right to verify the Customer's age and to request an official identity document.

On delivery, WXF Sàrl or its carrier may also ask for proof of age and refuse to hand over the products if the age requirements are not met.

The Customer must ensure that a person aged at least 18 is available to receive the order.

4. Ordering and conclusion of the contract

The presentation of products in the online shop constitutes an invitation to place an order and not a legally binding offer.

Before finally confirming the order, the Customer is shown a summary allowing them to check and, if necessary, correct the products, quantities, contact details, delivery address and payment method selected.

By clicking the button to finally confirm the order, the Customer submits to WXF Sàrl a firm offer to purchase the products in their basket.

Once the order has been received, a confirmation is sent electronically.

The contract is concluded when WXF Sàrl confirms acceptance of the order or dispatches it.

WXF Sàrl reserves the right to refuse or cancel an order, in particular in the event of:

  • a product being unavailable;
  • an obvious error in price or description;
  • suspected fraud or misuse;
  • a previous payment problem;
  • delivery being impossible;
  • or failure to comply with these Terms of sale.

If a product is unavailable after payment, any amounts already received for the products concerned will be refunded.

Vintages are offered while stocks last. No change of vintage that substantially alters the product ordered will be made without first informing the Customer.

5. Prices, VAT and delivery charges

All prices shown in the online shop are in Swiss francs (CHF).

Unless otherwise stated, prices for consumers include the applicable Swiss VAT. Alcoholic beverages are currently subject to the standard Swiss VAT rate.

Delivery charges are not included in the price of the products, unless expressly stated otherwise. They amount to CHF 12.– per order delivered in Switzerland and are free for purchases of CHF 150.– or more. Collection in Lausanne, Chexbres or Gstaad, by appointment, is free of charge. Charges are communicated to the Customer before the order is finally confirmed.

The total amount payable, including the products, applicable VAT and any delivery costs, is displayed before the order is confirmed.

WXF Sàrl reserves the right to change its prices at any time. The price applicable to an order is the one confirmed at the time the order is placed.

Promotions, discounts and special offers are valid for the period stated and while stocks last; unless otherwise stated, they cannot be combined.

Our offers, clearly. 5 % off from 6 bottles (a magnum counts as two), on individual bottles and magnums; it does not apply to gift boxes, the subscription, the case of 6 Nautilea magnums (already priced as 5), gift vouchers or evenings. Free delivery in Switzerland from CHF 150.– of purchases, calculated before the discount. From 12 bottles, a corkscrew is slipped into the case. Offers for companies are made on quotation and cannot be combined with the offers on the website.

WXF Sàrl is not bound by any obvious pricing errors, in particular those resulting from a technical or typographical error.

6. Payment methods

Depending on the options offered at the time of ordering, payments may be made by, among others:

  • credit or debit card;
  • TWINT;
  • Apple Pay or Google Pay;
  • invoice;
  • or any other payment method offered in the online shop.

Online payment is due at the time of ordering. Electronic transactions are processed by the payment provider Stripe. WXF Sàrl does not receive the Customer’s full card details.

Payment by invoice

WXF Sàrl may offer payment by invoice, payable within 30 days, in particular to trade customers (restaurants, hotels, wine shops and businesses). An order by invoice is confirmed by WXF Sàrl; the terms and payment deadlines stated on the invoice then apply.

In the event of late payment, WXF Sàrl reserves the right to suspend any further deliveries, to require advance payment and to claim the costs and interest provided for under Swiss law.

Payment by invoice is not an acquired right and may be withdrawn at any time.

7. Delivery and delivery area

Orders placed through the online shop are delivered exclusively to addresses in Switzerland and Liechtenstein, unless otherwise agreed in writing.

Delivery is made to the address given by the Customer when placing the order. The Customer is responsible for ensuring that the delivery address is accurate and complete.

Delivery times shown on the site (generally 3 to 5 working days) are indicative only, unless expressly agreed otherwise. 75 cl bottles are shipped in cases of 3, so the quantity ordered must be a multiple of 3.

WXF Sàrl does everything possible to ship orders as quickly as possible, but cannot guarantee a specific lead time in the event of circumstances beyond its control, including carrier delays, weather conditions, peak periods, force majeure or supply problems.

In exceptional cases, an order may be delivered in several shipments. Where WXF Sàrl makes this decision, no additional delivery charge is invoiced to the Customer.

Where necessary to preserve the quality of the wine, WXF Sàrl may temporarily postpone a shipment in the event of exceptionally unfavourable temperatures or transport conditions.

If the recipient is absent or delivery is impossible for reasons attributable to the Customer, the additional costs of storage, return or redelivery may be charged to the Customer.

Gift vouchers and subscription

Gift vouchers are sent by email or as a printed card. They are valid for two years from the date of issue, on all wines on the website and for a Momentum evening, and cannot be redeemed for cash. The “Four Seasons of Mític” subscription includes four deliveries – in January, April, July and October – of three or six bottles depending on the option chosen, each from a different vintage of Mític, to the address given by the Customer.

8. Transfer of risk and inspection on receipt

WXF Sàrl takes particular care in the packaging and transport of its products.

For consumer customers, the risk of accidental loss or damage passes to the Customer upon actual delivery of the goods to the Customer or to the person designated to receive them.

The Customer must check the order upon receipt. Visible transport damage, broken bottles, damaged parcels or obvious discrepancies between the products ordered and those delivered must be reported to WXF Sàrl within 48 hours of delivery, where possible accompanied by photographs of the parcel and the products concerned.

This notification requirement makes it easier to handle the claim and to deal with the carrier; it does not limit the mandatory rights the consumer enjoys under Swiss law.

9. Right of return and complaints

Swiss law does not provide for a general right of withdrawal for purchases made online. Except in the case of a delivery error, a defective product or prior agreement from WXF Sàrl, correctly delivered products therefore cannot be returned simply because the Customer has changed their mind.

Any exceptional request for a return must be authorised in advance by WXF Sàrl. Where a voluntary return is accepted, the bottles must be intact, unopened, properly stored and in their original packaging. Return costs may be charged to the Customer.

Delivery error or damaged product

If a product is incorrect, missing or damaged, the Customer is asked to contact WXF Sàrl promptly after receipt. After verification, WXF Sàrl may, depending on the circumstances:

  • replace the product;
  • arrange a new delivery;
  • issue a credit note;
  • or refund the product concerned.

Corked bottle or one with an obvious sensory fault

A complaint about a corked bottle or one with an obvious fault may be sent to WXF Sàrl, together with the information needed to identify the wine, the vintage and the order. WXF Sàrl may ask for the bottle, its remaining contents and its original cork to be kept so that they can be inspected.

A faulty bottle does not automatically entitle the Customer to return or obtain a refund for the entire order.

Natural variations due to the vintage, the wine’s development, the possible presence of sediment or the characteristics inherent in an unfiltered wine do not necessarily constitute a defect.

10. Warranty and defects

The provisions of Swiss law on warranty for defects apply, subject to these Terms of sale and to mandatory statutory provisions.

The Customer must inform WXF Sàrl of a defect as soon as it can reasonably be detected. Where a defect is acknowledged, WXF Sàrl may, depending on the circumstances, offer in particular a replacement of the product, a price reduction, a credit note or a refund for the product concerned.

In particular, the guarantee does not cover deterioration resulting from:

  • unsuitable storage after delivery;
  • excessive exposure to heat, cold, light or changes in temperature;
  • improper handling;
  • keeping the wine after opening;
  • or use contrary to the product's intended purpose.

As wines are living products that may evolve over time, a natural change in their characteristics does not in itself constitute a defect.

11. Liability

WXF Sàrl is liable for direct damage caused by a breach of contract attributable to it, within the limits set by Swiss law.

To the fullest extent permitted by law, WXF Sàrl excludes liability for indirect or consequential damage, in particular loss of turnover, loss of profit, business interruption or loss of data.

WXF Sàrl is not liable for delays or non-performance resulting from circumstances reasonably beyond its control, including force majeure, natural disasters, transport disruption, industrial action, widespread outages, decisions by the authorities or major disruption to supply chains.

The limitations of liability set out in these Terms of sale do not apply where liability cannot legally be excluded or limited, in particular in cases of wilful misconduct or gross negligence.

WXF Sàrl accepts no liability for the consequences of inappropriate or excessive consumption of alcoholic beverages.

12. Data protection

WXF Sàrl processes personal data in accordance with the Federal Act on Data Protection (FADP). The details are set out in the privacy policy.

13. Applicable law and jurisdiction

These Terms of sale and all contracts concluded with WXF Sàrl are governed exclusively by substantive Swiss law, excluding its conflict-of-laws rules and, to the extent it would apply, the United Nations Convention on Contracts for the International Sale of Goods.

For Customers acting as consumers, the mandatory places of jurisdiction provided for by Swiss law remain reserved.

For business Customers, and in all cases where an agreement on jurisdiction is legally permissible, the exclusive place of jurisdiction is the registered office of WXF Sàrl in Saanen, Canton of Bern. WXF Sàrl nevertheless reserves the right to bring proceedings against the Customer before any other court having jurisdiction under applicable law.
